Terms of service

These terms govern your use of the Duceus website and API. By creating an account or calling the API you agree to them.

1. Who we are

The service is provided by Duceus ("we"). You can reach us at support@duceusapi.com.

2. The service

Duceus collects disclosures that listed companies and their insiders are required to publish under the EU Market Abuse Regulation (managers' transactions, Art. 19 MAR), the Transparency Directive (major shareholding notifications) and their UK and EEA equivalents, normalises them into one schema, and makes them available through a REST API and this website. Which countries and how far back the data reaches depends on your plan; see pricing and coverage.

3. Accounts and API keys

  • You must give accurate details when signing up and keep them current.
  • API keys are secrets. You are responsible for every request made with a key issued to your account, and must revoke a key immediately if it may have been exposed.
  • One account per person or organisation; you may not share a plan across unrelated organisations.
  • You must be at least 18 and, if acting for an organisation, authorised to bind it to these terms.

4. Acceptable use

You may not:

  • exceed the request limits of your plan, or work around them with multiple accounts or keys;
  • resell or redistribute the API or bulk data as a competing data feed without our written agreement;
  • use the service to make decisions about an individual that produce legal or similarly significant effects;
  • probe, scan or test the vulnerability of the service, or interfere with other customers' use;
  • use the data for market abuse, or for any purpose that is unlawful where you are.

You may use the data in your own products, research and publications, including commercial ones, with attribution to the original regulatory source where that source requires it.

5. Plans, payment and changes

  • Paid plans are billed monthly in advance and renew automatically until cancelled.
  • You can cancel at any time from your account page; the plan stays active until the end of the paid period and is then downgraded to the free plan. Fees already paid are not refunded, except where the law requires it.
  • We may change plan prices or limits with at least 30 days' notice by email. Changes apply from your next renewal.
  • Prices exclude VAT and other applicable taxes unless stated otherwise.

6. Data accuracy and availability

The data is derived from public filings that are prepared by third parties and published by national regulators. We normalise it carefully but cannot guarantee that it is complete, accurate or timely. Filings can be late, amended, withdrawn or mis-parsed, and sources can change format without notice. Where possible each record links to its original disclosure so you can verify it.

The service is not investment advice and does not constitute a recommendation to buy, sell or hold any financial instrument. Duceus is not a regulated financial services provider.

We aim for high availability but do not promise uninterrupted service. We may suspend the service for maintenance or for reasons outside our control, and will try to give notice for planned downtime.

7. Intellectual property

The underlying disclosures are public records. The normalised database, the API, the documentation and the website design are ours or our licensors'. Your plan grants you a non-exclusive, non-transferable licence to access and use the data for the duration of your subscription, subject to section 4.

8. Suspension and termination

We may suspend or close your account if you breach these terms, if your payment fails, or if the law requires it. We will tell you why unless we are not allowed to. You may close your account at any time by contacting us.

9. Liability

To the extent permitted by law, we are not liable for indirect or consequential loss, lost profits, or losses arising from trading or investment decisions made using the data. Our total liability to you in any 12-month period is limited to the fees you paid us in that period. Nothing in these terms limits liability that cannot be limited by law, including for fraud or wilful misconduct.

10. Changes to these terms

We may update these terms. For material changes we will email you at least 30 days before they take effect; continuing to use the service after that date means you accept them.

11. Governing law

These terms are governed by the laws of Poland, and disputes are subject to the exclusive jurisdiction of the courts of Poland, without prejudice to any mandatory consumer protection you enjoy where you live.
