Major shareholding notifications API

When a fund or company crosses 3, 5 or 10% of a listed issuer's voting rights, it files a notification: a TR-1 in the UK, a franchissement de seuil in France, a Beteiligungsmeldung in Austria. Duceus reads these filings from 7 European registers and serves them in one schema, with each holder matched to its LEI and parent group.

Questions

What is a major shareholding notification?

A filing a holder must make when its share of an issuer's voting rights reaches, exceeds or falls below a threshold. Under the Transparency Directive (2004/109/EC, Article 9) the thresholds are 5, 10, 15, 20, 25, 30, 50 and 75%. The UK calls it a TR-1, France a déclaration de franchissement de seuil.

Are the thresholds the same in every country?

No. The Directive sets a minimum, and many states add lower or intermediate thresholds: 3% in the United Kingdom, Germany and the Netherlands, among others. Switzerland, outside the Directive, starts at 3% under its own law. The API returns the threshold each filing states in threshold_crossed_pct.

How fast is a threshold crossing published?

Under the Directive the holder notifies the issuer within four trading days and the issuer publishes within three more (Article 12). Several states set shorter deadlines. The API keeps event_date, notification_date and published_at apart, and flags filings the source marks as late in is_late.

Do the notifications include derivatives and short positions?

Yes, when the filing states them. Each notification carries one position per instrument line: shares held directly or indirectly, options, swaps, lent stock. Short positions come with direction SHORT and new_pct_voting_short.

How do I see every holding of a group like BlackRock?

Holders are matched to their Legal Entity Identifier and to the ultimate parent GLEIF records for it. Filter /holdings by ultimate_parent_lei, or read /issuers/{id}/shareholder-groups, to group the dozens of entities that file under one parent.

Does the API show the ownership chain behind a holding?

Yes. The first party of a notification is the holder obliged to notify; further parties are the controlled undertakings, beneficial owners or members acting in concert the filing names, each with its own percentages.

What about corrected notifications?

A correction is a new filing that names the one it corrects in supersedes_reference. Both stay available, so you can see what was filed and when.
